1. Introduction
Welcome to ZynReach.
These Terms of Service (the "Terms" or "Agreement") govern your use of the ZynReach website, platform, services, applications, application programming interfaces, and any related services, products, or functionality provided by Zyntra Digital ("ZynReach," the "Company," "we," or "us").
By using the Services, registering for an account, subscribing to any plan, or accessing or using the platform in any manner, you acknowledge that you have read and understood these Terms and agree to be bound by them.
If you are using the Services on behalf of a company, organization, or legal entity, you represent that you have the legal authority to bind that entity to these Terms, in which case the term "Customer" refers to that entity.
If you do not agree to these Terms, you must not use the Services.
2. Definitions
For the purposes of this Agreement:
"Account" means the account created to access the Services.
"Customer" means the person, company, organization, or entity that subscribes to or uses the Services.
"Customer Data" means the data, information, content, and files that the Customer or its affiliated Users enter, upload, store, or process through the Services.
"Services" means ZynReach’s services, including the platform, website, software, functionality, APIs, and related services.
"User" means any person authorized by the Customer to use the Services.
"Subscription" means the Customer’s plan or subscription to the Services.
"Documentation" means the guides, instructions, and technical or operational documentation provided by ZynReach.
"Order" means the subscription order, order form, checkout page, or any commercial document specifying the Services, plan, or pricing.
"Third-Party Services" means services, products, or applications provided by third parties that are used in integration with ZynReach.
"Confidential Information" means non-public information disclosed by one party to the other in the context of the contractual relationship.
3. Acceptance of Terms
By using the Services, you agree to:

- Comply with applicable laws.
- Provide true and accurate information.
- Protect login credentials.

9. Changes to the Services
ZynReach may modify, update, or improve the Services from time to time.

10. Free Trials
ZynReach may offer:

Unless stated otherwise, trial services are provided for evaluation purposes only.

11. Free Accounts
If a free plan is offered, it may be subject to:
ZynReach may modify or terminate the free plan in accordance with applicable law and the published terms.

12. Paid Subscriptions
Paid Services are provided in accordance with the plan chosen by the Customer.

13. Pricing
Prices for the Services are determined according to published pricing or as agreed contractually.

14. Billing
Invoices may be issued:

Taxes and government fees related to the subscription are the responsibility of the party on which the law imposes them.

16. Late Payment
If fees due are not paid, ZynReach may, after appropriate notice where required:

17. Renewal
If the subscription is subject to automatic renewal, it will be renewed in accordance with the terms of the plan or the Order.
The Customer may cancel the renewal in accordance with the cancellation mechanism and deadlines specified at the time of subscription.
18. Cancellation
The Customer may cancel the subscription in accordance with:
Cancellation does not automatically result in a refund of all fees paid unless stated otherwise.

19. Refunds
Refunds are subject to the applicable refund policy, the Order, or mandatory law.
ZynReach is not obligated to refund fees for a period during which the Customer used the Services unless required contractually or by law.
20. Suspension of Service
ZynReach may suspend or restrict the Services, to the extent permitted by law, when necessary due to:
- Violation of these Terms.
- Violation of the Acceptable Use Policy.
- Security risk.
- Fraudulent activity.
- Non-payment.
- Legal order.
- Risk to Users.
- Risk to infrastructure.
21. Urgent Security Suspension
The Company may take immediate action without prior notice when reasonably necessary to protect:

22. ZynReach Ownership
All rights, title, and interest relating to:
remain owned by Zyntra Digital or its licensors.
This Agreement does not grant the Customer ownership of these elements.
- The ZynReach platform.
- Software.
- Code.
- Design.
- Interfaces.
- Trademarks.
- Company-provided content.
- Documentation.
- Systems.
- Technical infrastructure.
23. License to Use the Services
For as long as the Customer complies with these Terms, ZynReach grants it a limited, non-exclusive, non-transferable right to use the Services during the subscription term and for its own legitimate business purposes.
This right must not be construed as:
- A sale of the software.
- A transfer of ownership.
- An open license.
- A right of access to the source code.
24. Usage Restrictions
The Customer may not:
- Copy the platform.
- Resell it without authorization.
- Modify it without authorization.
- Disassemble it.
- Perform reverse engineering, except to the extent that the law does not permit restricting it.
- Attempt to extract source code.
- Remove ownership notices.
- Circumvent technical restrictions.
- Create a competing product based on components owned by ZynReach in violation of the law.
25. Customer Data
The Customer retains all of its rights in Customer Data, subject to the rights ZynReach needs to provide the Services.
The Customer grants ZynReach a limited license to process Customer Data to the extent necessary:
- To provide the Services.
- To operate the platform.
- To provide support.
- To maintain security.
- To perform backups.
- To troubleshoot.
- To comply with the law.
- To perform the contract.
26. Customer Responsibility for Data
The Customer warrants, to the extent permitted by law, that it has the necessary rights, permissions, and legal grounds to provide data to ZynReach and to have it processed through the Services.
The Customer is responsible for:
- The lawfulness of the data.
- The accuracy of the data.
- Rights to use it.
- Obtaining necessary consents.
- Compliance with data protection laws.
27. Data Protection and Privacy
Processing of personal data is subject to the Privacy Policy and, where applicable, the Data Processing Agreement (DPA).
Where ZynReach acts as a Processor, Customer Data is processed in accordance with the DPA and the instructions authorized by the Customer.
28. Data Processing Agreement
Where required by law or the nature of the relationship, a DPA may be entered into between ZynReach and the Customer.
In the event of a conflict between these Terms and the DPA regarding the processing of Customer Data, the provisions of the DPA shall govern.
29. Security
ZynReach implements appropriate technical and organizational measures to protect its Services in accordance with its security framework.
The Customer may refer to the Security & Trust Policy for additional information about ZynReach’s approach to security and compliance.
30. Security Incidents
ZynReach handles security incidents in accordance with its internal procedures and policies, including the Incident Response & Security Breach Notification Policy.
Notifications to customers are made in accordance with the DPA, the contract, and applicable law.
31. Sub-processors
ZynReach may use Sub-processors to provide the Services.
These relationships are subject to the Sub-processor Policy and the DPA, as applicable.
The Company may change or replace Sub-processors in accordance with the mechanism set out in the relevant agreements and policies.
32. External Services
ZynReach may integrate with:
External services are subject to their providers’ own terms.
- Payment services.
- Email services.
- Hosting services.
- Analytics tools.
- Communications services.
- Artificial intelligence tools.
- External applications.
33. Third-Party Services
If the Customer activates an integration with a third-party service, the Customer acknowledges that:
ZynReach bears no independent responsibility for the third-party service outside its control.
- The third-party service is not owned by ZynReach.
- ZynReach may not control the third-party service.
- Use of the third-party service may be subject to separate terms.
- Disruption of the third-party service may affect certain ZynReach functionality.
34. Artificial Intelligence
ZynReach may include features that rely on artificial intelligence technologies.
The Customer acknowledges that AI outputs may:

- Not always be accurate.
- Require human review.
- Not represent professional opinion.
- Contain errors.
- Not be relied upon alone for high-risk decisions.
35. Intellectual Property in Inputs and Outputs
Unless a separate contract provides otherwise:
ZynReach does not guarantee that every automatically generated output will be free of third-party rights or claims.
- The Customer retains rights to Customer Data.
- ZynReach retains rights to the platform and its proprietary technologies.
- AI outputs are handled in accordance with the law and the terms of the relevant feature.
36. Feedback
If the Customer provides suggestions, ideas, or feedback regarding the Services, ZynReach may use them to develop its products and services without any obligation to pay compensation, unless the parties agree otherwise in writing.
This consent does not extend to Customer Data or Confidential Information.
37. Confidentiality
Each party shall maintain the confidentiality of Confidential Information received from the other party.
Confidential Information may only be used for the purposes of performing the contractual relationship.
38. Exceptions to Confidentiality
Information is not considered confidential where it:
- Has become publicly available without breach.
- Was already lawfully known beforehand.
- Was lawfully obtained from a third party.
- Was independently developed.
- Must be disclosed under the law.
39. Compliance with Laws
Each party shall comply with the laws applicable to it in relation to the use and performance of the Services.
ZynReach does not guarantee that use of the Service will automatically render the Customer compliant with all laws or regulations specific to its industry.
40. Regulated Industries
If the Customer operates in a regulated industry, it is responsible for assessing whether ZynReach is suitable for its regulatory requirements.
These industries may include:
Any additional requirements must be agreed in writing when necessary.
- Finance.
- Healthcare.
- Insurance.
- Education.
- Government.
- Telecommunications.
41. Acceptable Use Policy
The Services must be used in accordance with the Acceptable Use Policy.
That policy is deemed an integral part of this Agreement.
In the event of a violation of the policy, ZynReach may take the actions set out in it and in these Terms.
42. Customer Responsibilities
The Customer shall:
- Use the Services lawfully.
- Protect login credentials.
- Manage users.
- Comply with plan limits.
- Maintain the security of the systems it controls.
- Protect its devices.
- Not use the Services in a manner that endangers others.
43. Technical Support
ZynReach may provide technical support in accordance with the support level associated with the plan.
The following may vary:

- Support level.
44. Service Levels
If a separate Service Level Agreement (SLA) has not been entered into, no published uptime or response times constitute a contractual guarantee of a specific service level unless expressly stated.

ZynReach may perform:

The Company seeks to minimize the impact of maintenance on customers whenever practicable.

47. Content and Data
ZynReach is not obligated to review all Customer Data prior to storing or processing it.
Providing the platform does not mean that ZynReach bears general responsibility for the Customer’s content.
However, the Company may take action when it is:
- Legally required.
- Necessary for security.
- Required under the contract.
- Necessary to prevent misuse.
48. Backups
ZynReach uses appropriate backup systems to support business continuity and disaster recovery.
Backups are not a substitute for the Customer’s responsibility to maintain its own copies when necessary for its business.
49. Data Retention & Deletion
Data is subject to the Data Retention & Deletion Policy, the DPA, and the applicable contract.
Certain data may persist in backup systems for a limited period after being deleted from operational systems.
50. Termination by the Customer
The Customer may terminate the subscription in accordance with the cancellation terms or the commercial agreement.
Upon termination of the subscription, Customer Data is handled in accordance with the contract, the DPA, and the retention and deletion policy.
51. Termination by ZynReach
ZynReach may terminate or suspend the Services when justified under:

- Material breach.
- Unlawful activity.
- Serious misuse.
- Security risk.
- Non-payment.
- Legal order.
- Repeated violations.
52. Effect of Termination
Upon termination of the Service:
- The Customer’s right to use the platform ceases.
- Customer Data is handled in accordance with the DPA and the contract.
- Obligations that by their nature survive termination remain in effect.
53. Provisions Surviving Termination
The following survive termination of the Agreement, according to their nature:
- Intellectual property.
- Confidentiality.
- Liability.
- Indemnification.
- Fees due.
- Restrictions.
- Dispute resolution.
- Provisions that expressly or implicitly provide for their survival.
54. Disclaimer of Warranties
To the extent permitted by law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.
ZynReach does not warrant that the Services are:
This section does not exclude any warranty that cannot be lawfully excluded.
- Free of errors.
- Available without interruption.
- Free of all vulnerabilities.
- Suitable for every use.
- Achieving particular business results.
55. Reliance on the Service
The Customer is responsible for assessing whether the Service is suitable for its needs.
ZynReach should not be used as the sole system or sole means of protection for critical data unless agreed contractually.
56. Limitation of Liability
To the extent permitted by law, ZynReach shall not be liable for indirect, consequential, special, or incidental damages, including:
- Loss of profits.
- Loss of revenue.
- Loss of business opportunities.
- Loss of reputation.
- Loss of data, to the extent permitted by law and the contract.
57. Maximum Liability Cap
To the extent permitted by law, ZynReach’s total liability for claims arising out of or related to the Services shall not exceed the amounts paid by the Customer to ZynReach for the Services during the period specified in the Agreement or the Order.
If the contract does not specify a different period, the reference period may be the twelve months immediately preceding the event giving rise to the claim.
No limitation of liability shall apply where its exclusion is required under mandatory law.
58. Exceptions to Liability Limitations
The limitations of liability set out in this Agreement are not intended to exclude liability that cannot lawfully be excluded or limited.
59. Indemnification of ZynReach
To the extent permitted by law, the Customer agrees to indemnify ZynReach, its affiliates, directors, officers, employees, and agents against reasonable claims, damages, and costs arising from:
- The Customer’s breach of these Terms.
- Unlawful use of the Services.
- Customer Data that infringes third-party rights.
- Infringement of third-party intellectual property rights by the Customer.
- Use of the Service in a manner that violates the AUP.
- Claims arising from the activities of the Customer or its Users.
60. Indemnification Procedures
When an indemnifiable claim arises:
- The responsible party is notified within a reasonable time.
- It is permitted to participate in the defense.
- The claim is not settled in a manner that imposes a material obligation on the other party without its reasonable consent, unless the law requires otherwise.
61. Force Majeure
Neither party shall be liable for delay or non-performance resulting from circumstances reasonably beyond its control, such as:

- Natural disasters.
- Wars.
- Terrorism.
- Pandemics.
- Widespread infrastructure outages.
- Communications disruptions.
- Large-scale cyberattacks beyond reasonable control.

Notices relating to the Service or the account may be sent via:

63. Amendments to the Terms
ZynReach may amend these Terms from time to time.

64. Notice of Material Changes

65. Continued Use
Unless otherwise provided by law or the contract, continued use of the Services after the amended Terms take effect constitutes acceptance of them to the extent permitted by law.
66. No Waiver
Failure to enforce any right under this Agreement does not constitute a waiver of that right.
67. Severability
If any provision becomes invalid or unenforceable, it shall be interpreted to the minimum extent necessary to achieve its purpose, without affecting the remaining provisions.
68. No Agency
This Agreement does not create:

- A partnership.
- An agency.
- A joint venture.
- An employment relationship.
69. Assignment of the Agreement
The Customer may not transfer this Agreement or its rights and obligations under it to another party without ZynReach’s consent, except as permitted by law or the Agreement.
ZynReach may transfer the Agreement to an affiliate, legal successor, or in connection with a restructuring, merger, or asset sale, in accordance with the law.
70. Entire Agreement
These Terms, together with any:
constitute the entire agreement between the parties regarding the subject matter they cover.

71. Order of Precedence
In the event of a conflict, the order of precedence, depending on the nature of the matter, shall be:

- The SLA, with respect to service levels.

72. Governing Law
This Agreement is governed by the law specified in the commercial agreement or Order entered into with the Customer.
Where no agreement specifies the governing law, the law with competence over the relationship shall apply in accordance with applicable legal rules.
This section is not intended to deprive a consumer of any mandatory rights granted by the laws applicable to them.
73. Jurisdiction and Dispute Resolution
Wherever possible, the parties shall seek to resolve disputes relating to the Services amicably through communication and negotiation.
If an amicable resolution cannot be reached, recourse shall be had to the judicial body or dispute resolution mechanism specified in the commercial agreement.
Where no contractual designation exists, the jurisdiction determined by applicable law shall apply.
74. Consumer Users
If the User is a consumer and not a commercial user, these Terms are not intended to exclude or limit any mandatory rights granted by consumer protection law or any other applicable law.
75. Government and Enterprise Services
Certain government customers or large organizations may be subject to special agreements and terms.
In such cases, the Customer’s specific written agreement shall prevail over these Terms to the extent of any conflict.
76. Export Controls
The User must not use the Services in violation of applicable sanctions laws, export controls, or trade restrictions.
77. Anti-Bribery and Anti-Corruption
Use of the Services to facilitate the following is prohibited:
- Bribery.
- Corruption.
- Unlawful payments.
- Concealment of unlawful transactions.
78. Anti-Fraud
ZynReach may take appropriate measures to prevent or detect fraud, including:
- Reviewing activity.
- Suspending suspicious accounts.
- Requesting additional information.
- Cooperating with competent authorities when legally required.
79. Misuse of the Platform
ZynReach reserves the right to take action against use that, even if not literally listed among prohibited uses, poses a reasonable risk to:

- Customers.
- Users.
- Third parties.
80. No Obligation of General Monitoring
ZynReach is not obligated to monitor all customer usage or review all Customer Data.
However, the Company may take action when necessary or required by law or contract.
81. Customer Security
The Customer acknowledges that the security of the Service depends in part on its own practices, including:
- Account management.
- Passwords.
- MFA.
- User devices.
- Integration settings.
- Permissions.
82. Integrations and API
When using the API or Integrations:
ZynReach may modify or restrict the API when necessary for security or operational reasons.
- The technical documentation must be followed.
- Rate limits must be respected.
- API keys must be protected.
- Endpoints must not be misused.
- Technical controls must not be circumvented.
83. API Changes
ZynReach may release new API versions or discontinue older versions in accordance with published lifecycle policies or the Agreement.
A transition period may be provided where practicable.
84. Data Availability After Termination
Upon termination of the subscription, ZynReach may provide appropriate mechanisms to export or retrieve Customer Data in accordance with:

85. Responsibility for Copies
Unless the contract provides otherwise, the Customer is responsible for maintaining appropriate copies of data it considers necessary for its business.

ZynReach may send communications related to:

87. Trademarks
"ZynReach" and "Zyntra Digital," and any related logos or marks, are the property of their respective owners.

ZynReach bears no responsibility for the content, policies, or practices of external websites.
89. Advertisements and Partners
If services, offers, or partnerships appear within the platform, they may be subject to separate terms.
The display of any third party does not mean that ZynReach guarantees its services or endorses all of its practices.
90. Special Provisions for Trial Versions
Unless stated otherwise, Trial Features may be provided without full service-level commitments.
They may be terminated or modified at any time.
91. Special Provisions for Enterprise Plans
Enterprise customers may enter into:

92. Data Residency

A specific Data Residency is not assumed merely by using the Service.
93. Security Support for Customers
ZynReach may provide security information or compliance documentation to enterprise customers, depending on the plan and agreement.
This information does not constitute a guarantee that the Customer will be compliant with all requirements of its industry.
94. Post-Incident Obligations
ZynReach may take corrective action following security incidents, which may include:

- Updating systems.
- Improving monitoring.
- Changing controls.
- Updating procedures.
95. No Professional Advice
Unless expressly stated otherwise, ZynReach and its outputs do not constitute a substitute for:

96. Accuracy of Information

The support channels specified within the platform or on the ZynReach website may be used for technical and operational matters.
